LEGAL COMPLIANCE IN THE EU

Legal Basis: Directive 2009/24/EC & CJEU Ruling

European Union law explicitly protects the free trade of software licences within the European Economic Area (EEA). According to Directive 2009/24/EC and the landmark ruling of the Court of Justice of the European Union (CJEU) on July 3, 2012 (Case C-128/11):

  • Principle of Exhaustion: Once a software publisher sells a copy of a perpetual licence within the EU/EEA, its distribution right for that copy is exhausted.
  • Enforceability over EULAs: Contractual provisions in End User Licence Agreements (EULAs) attempting to prohibit resale are null and void under EU law.
  • Right to Download & Reinstall: Subsequent acquirers of secondary licences are lawful acquirers and are entitled to download and run the software.
Audit Compliance & Documentation Requirements: Each licence transfer is individually audited for compliance. Legitimacy requires proof of original EEA placement, complete chain of title, and signed declaration of uninstallation by the transferring entity.
