Terms & Conditions

General terms governing commercial inquiries, secondary software transfers, and IT service delivery for enterprise clients across the European Economic Area.

Document Notice: These terms govern B2B transactions provided by InnoSfera — Przemysław Stasz. Final contract wording is subject to individual B2B agreement execution.

1. Scope & B2B Applicability

The services, software valuations, and commercial offers presented on innosfera.eu are directed exclusively to business entities (B2B), corporate design departments, and commercial enterprises. Consumer protection regulations do not apply to commercial transactions conducted under these terms.

2. Software Licensing & Transfer Compliance

InnoSfera EU facilitates the acquisition of new vendor subscriptions as well as secondary pre-owned perpetual software licences pursuant to Directive 2009/24/EC of the European Parliament and of the Council and the landmark ruling of the Court of Justice of the European Union (CJEU) in Case C-128/11 (UsedSoft v Oracle).

  • Secondary software transfers require documented proof of original purchase within the EEA, full uninstallation by the seller, and confirmation of perpetual licence status.
  • Individual licence transfer eligibility is subject to audited chain-of-title verification prior to commercial execution.

3. Quotations & Contract Execution

Information and pricing listed on innosfera.eu constitute an invitation to treat and do not represent a binding commercial offer under civil law until a formal written quotation or contract is issued and executed by an authorized representative of InnoSfera EU.

4. IT Services & SLA Terms

IT infrastructure management, CAD workstation tuning, and GPU servicing provided in Poland are governed by specific Service Level Agreements (SLAs) executed individually per corporate client, defining response times, service scopes, and maintenance liabilities.

5. Governing Law & Jurisdiction

All commercial relationships and contracts entered into with InnoSfera EU are governed exclusively by the laws of the Republic of Poland and applicable European Union regulations. Disputes shall be submitted to the competent commercial court having jurisdiction over the registered seat of the service provider in Krakow, Poland.
